Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 22, 2022, Arthur L. George, Jr., a member of the Board of Directors (the “Board”) of the Company, resigned from the Board for health reasons, effective immediately. Mr. George has indicated that his departure is not the result of any disagreement with management or the Board. Board Chair Helmuth Ludwig said of his departure, "The Board would like to thank Art for his participation on the Board and support of the Company during his time with us."
